1.What you are agreeing to
This is the consent required by the federal Electronic Signatures in Global and National Commerce Act (the “ESIGN Act,” 15 U.S.C. § 7001 and following) and by the Uniform Electronic Transactions Act (“UETA”) as adopted in the states where Siteworks Capital, LLC does business. Read it before you sign anything on our platform.
By checking the consent box in our platform, by signing a document electronically, or by continuing to use the borrower, broker, or investor portal after being shown this notice, you agree that:
- We may provide you with records and disclosures electronically instead of on paper.
- Your electronic signature has the same force and legal effect as a handwritten signature on paper.
- An electronic record of an agreement you sign satisfies any law requiring that agreement to be in writing, and a printout or an electronically stored copy is admissible to the same extent as an original paper document.
Your consent is voluntary. You may decline it and transact with us on paper instead, and you may withdraw it later — section 6 explains how, and what happens if you do.
2.Records covered by this consent
This consent applies to every record we are required or choose to give you in connection with your relationship with us, including:
- This consent, our privacy policy, and our terms of use, and any amendment to them.
- Application disclosures, authorizations for credit and background checks, and adverse-action notices.
- Term sheets, commitment letters, and fee schedules.
- Loan agreements, promissory notes, security instruments, guaranties, completion guarantees, and closing documents presented for electronic signature.
- Statements, payment notices, interest and payoff statements, draw approvals, inspection results, insurance notices, and default or maturity notices.
- Tax forms, where the applicable authority permits electronic delivery and you have separately consented if required.
- Investor subscription materials, capital notices, and periodic reporting, if you are an admitted investor.
- Any other notice, disclosure, or communication about your account.
Some documents must still be delivered on paper or recorded in physical form by law or by county practice — a recorded deed of trust or mortgage, for instance. We will tell you when that applies and arrange it.
3.How we deliver electronic records
We provide records in one or more of these ways:
- By posting them to your account in the platform, where you can view and download them at any time while your account is active.
- By sending them to the email address you have given us, either as an attachment or as a secure link to the document.
- By presenting them on screen during a signing ceremony, with a download available before and after you sign.
Records are provided in PDF, and occasionally in plain text or HTML. A record is considered delivered when we post it to your account or send it to your email address, whether or not you open it. It is your responsibility to check both.
4.Hardware and software you need
To receive, view, sign, and retain electronic records you need all of the following. By consenting, you confirm you have them and can access a record in each format listed.
- A computer, tablet, or smartphone with internet access.
- A current version of a modern browser — Chrome, Edge, Firefox, or Safari — with JavaScript and cookies enabled. We support the current and immediately previous major release of each.
- Software able to open and read PDF files, such as a current PDF reader or a browser with a built-in PDF viewer.
- A valid email account, and the ability to receive email from our domain without it being blocked or filtered into a folder you do not check.
- Enough local storage, or a printer, to save or print the records you want to keep.
- For signing on a touch device, a screen able to capture a drawn signature, if you choose that signing method.
If our requirements change
If we change the hardware or software you need in a way that creates a material risk you could not access or retain your records, we will notify you, tell you what changed, and give you the right to withdraw this consent without any fee or consequence beyond those described in section 6.5.Your right to paper copies
You may request a paper copy of any record we have given you electronically, at any time, for as long as we are required to keep it. Request one by:
- Emailing hello@siteworkscapital.com with the words “paper copy request” and identifying the document and your loan or application number.
- Calling us at (000) 000-0000 during Monday–Friday, 8:30am–6:00pm ET.
- Writing to Siteworks Capital, LLC, 1000 Peachtree Industrial Boulevard, Suite 200, Atlanta, GA 30000.
We do not charge a fee for paper copies. We mail them to the address of record within ten business days of your request. Requesting a paper copy does not withdraw your consent to electronic records.
6.Withdrawing your consent
You may withdraw this consent at any time and at no cost, using any of the contact methods in section 5. Say clearly that you are withdrawing consent to electronic records, and include your name, your entity, and your loan or application number.
When it takes effect
Withdrawal is effective when we have had a reasonable time to act on it — normally within three business days of receipt. It applies going forward only. It does not affect the validity or enforceability of any record we delivered, or of any signature you applied, before it took effect.
What happens afterward
- We will send subsequent required records by U.S. mail to your address of record. Delivery will be slower.
- We may close or restrict your portal access, because the portal exists to deliver records electronically.
- If you withdraw consent while an application or a closing is in progress, we may be unable to continue that transaction electronically, which will delay it and may require us to restart parts of it on paper.
- You will need to re-consent to use electronic signature for any future transaction.
7.Keeping your contact information current
Electronic delivery only works if we can reach you. You must keep your email address, mobile number, and mailing address current with us, and you must tell us promptly when any of them changes.
- Update them in your portal profile, or contact us using section 5.
- Add our sending domain to your address book so our messages are not filtered as spam.
- Tell us if you stop having access to an email account we have on file.
We are not responsible for a record you did not receive because the address you gave us was wrong, out of date, full, or blocking our mail.
8.How electronic signing works, and what it means
When you sign electronically we present the complete document, let you download it, and capture your assent along with the date and time, your IP address, the authentication method that identified you, and a cryptographic hash of the document you saw. That evidence is bound to the signed record and retained with it.
An electronic signature you apply — typing your name, drawing it, or clicking a control we identify as a signature — is your signature. It is attributable to you under UETA because it was made through an account secured by credentials only you should hold, which is why section 4 of our terms of use asks you not to share them.
You are not required to sign electronically. If you would rather sign on paper, tell us before the signing ceremony and we will arrange it.
9.Retaining your records
Download and keep a copy of anything you sign. Records stay available in your portal while your account is active and for the retention period described in our privacy policy, but you should not rely on the portal as your only copy. If your account is closed, request the records you want before it is, or ask us for a copy afterward using section 5.
